1. Acceptance of Terms

By accessing, browsing, or using the BizIntell platform (the "Service"), including but not limited to the website located at bizintell.org, the web application interface, RESTful API endpoints, and any associated mobile applications or services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and to comply with all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and BizIntell ("Company", "we", "us", or "our"). Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference. By creating an account, uploading documents, accessing analytics, or otherwise utilizing any feature or functionality of the Platform, you expressly consent to these Terms and our Privacy Policy.

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. Material changes will be communicated to you through the email address associated with your account or through a prominent notice on the Platform. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for any changes.

2. Description of Service

BizIntell is a cloud-based business intelligence and document analysis platform that leverages artificial intelligence and machine learning technologies to transform unstructured business documents into actionable insights, visual analytics, and comprehensive reports. The Service enables businesses, organizations, and individual users to upload various document formats—including but not limited to PDFs, Microsoft Word documents (.doc, .docx), Excel spreadsheets (.xls, .xlsx), CSV files, images (JPEG, PNG, GIF, BMP, TIFF), and other supported file types—and receive AI-powered analysis that extracts key information, identifies trends, generates predictions, and creates visual data representations including charts, graphs, tables, and interactive dashboards.

The Platform operates on a subscription-based model with tiered service plans (Free, Starter, Pro, and Enterprise) that provide different levels of functionality, storage capacity, usage limits, document processing capabilities, API access, and support services. Users can organize their documents and analysis through customizable workspaces, each tailored to specific business functions such as sales performance, human resources, finance, marketing, operations, or any other organizational need. Each workspace may have its own AI prompt configurations, allowing domain-specific analysis and reporting tailored to your business requirements.

BizIntell processes documents through an integrated AI microservice architecture that performs deep analysis, natural language processing, data extraction, pattern recognition, and predictive analytics. The Service generates structured analytics including but not limited to charts, graphs, tables, heatmaps, scatter plots, and other visual representations, along with written insights that summarize key findings, highlight important trends, provide forward-looking predictions, and offer actionable recommendations based on the content of your uploaded documents.

Users can interact with their documents through a natural language query interface, allowing you to ask specific questions and receive focused AI-generated responses backed by data from your uploaded documents. The Service is accessible via web application interface and RESTful API, supporting both manual document uploads through the user interface and programmatic integration through API endpoints for automated workflows, third-party system integration, and enterprise-level automation requirements.

3. Account Registration and User Responsibilities

To access certain features of the Service, you must register for an account by providing accurate, current, and complete information as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials, including your email address, password, and any authentication tokens or API keys associated with your account. You agree to accept responsibility for all activities that occur under your account, whether authorized by you or not.

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service. If you are registering on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and "you" and "your" will refer to that entity. You agree to provide true, accurate, current, and complete information during the registration process and to update such information promptly if it changes.

You are solely responsible for maintaining the security of your account and for all activities that occur under your account, including but not limited to document uploads, data analysis requests, API calls, workspace configurations, and any other actions taken through your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

You agree not to share your account credentials with any third party, not to use another user's account without permission, and not to create multiple accounts to circumvent usage limits or subscription restrictions. We reserve the right to suspend or terminate your account if we suspect fraudulent, abusive, or illegal activity, or if you violate any provision of these Terms.

4. Subscription Plans and Payment Terms

BizIntell offers multiple subscription tiers, including Free, Starter, Pro, and Enterprise plans, each with different features, storage limits, processing capabilities, API access levels, and support options. Detailed information about each plan, including pricing, features, limitations, and renewal terms, is available on our pricing page and may be updated from time to time. We reserve the right to modify, add, or discontinue subscription plans at any time, with reasonable notice to affected users.

Payment Processing: All subscription payments are processed through Paddle.com Market Limited ("Paddle"), a third-party payment processor. By subscribing to a paid plan, you agree to be bound by Paddle's Terms of Service and Privacy Policy, which are available on Paddle's website. Paddle acts as our merchant of record and payment processor, handling all payment transactions, billing, invoicing, tax calculations, and payment-related customer support on our behalf.

Billing and Renewal: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan) and will automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date. By subscribing, you authorize Paddle to charge your designated payment method (credit card, debit card, or other accepted payment method) for the subscription fee and any applicable taxes, fees, or surcharges on each renewal date.

Price Changes: We reserve the right to modify subscription prices at any time. Price changes will be communicated to you at least thirty (30) days in advance via email to the address associated with your account. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.

Cancellation and Refunds: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period, and you will continue to have access to the Service until that time. Unless otherwise required by applicable law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused features, or unused storage capacity.

Payment Failures: If payment fails or is declined for any reason, we reserve the right to suspend or terminate your access to paid features until payment is successfully processed. You are responsible for ensuring that your payment method is valid and has sufficient funds. We may attempt to retry failed payments, and you authorize us to do so. If payment continues to fail, your subscription may be downgraded to the Free plan or terminated.

Taxes: All subscription fees are exclusive of applicable taxes, duties, levies, or similar governmental assessments, including but not limited to value-added tax (VAT), sales tax, goods and services tax (GST), and withholding taxes. You are responsible for paying all such taxes, and Paddle may collect and remit taxes on our behalf in accordance with applicable laws and regulations.

Free Plan Limitations: The Free plan is provided "as-is" and may have significant limitations on storage, document processing, API access, features, and support. We reserve the right to modify, limit, or discontinue the Free plan at any time without notice. Free plan users are not entitled to the same level of service, support, or features as paid subscribers.

5. User Content and Intellectual Property

Ownership of User Content: You retain all ownership rights, title, and interest in and to any documents, data, files, information, text, images, or other content that you upload, submit, post, transmit, or otherwise make available through the Service ("User Content"). By uploading User Content to the Platform, you represent and warrant that you own or have the necessary rights, licenses, permissions, and consents to use, upload, and authorize us to process such User Content in accordance with these Terms and our Privacy Policy.

License to BizIntell: By uploading User Content, you grant BizIntell a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, store, process, analyze, and transmit your User Content solely for the purpose of providing, operating, maintaining, and improving the Service, including but not limited to AI analysis, data processing, storage, backup, security, and technical support. This license continues even after you stop using the Service, to the extent necessary for us to fulfill our legal obligations, resolve disputes, enforce our agreements, and maintain the integrity of our systems.

Prohibited Content: You agree not to upload, post, transmit, or otherwise make available any User Content that: (a) violates any law, regulation, or third-party right, including intellectual property rights, privacy rights, or publicity rights; (b) is defamatory, libelous, obscene, pornographic, harassing, threatening, abusive, or otherwise objectionable; (c) contains viruses, malware, Trojan horses, or other harmful code; (d) contains sensitive personal information of others without their consent; (e) contains trade secrets or confidential information that you are not authorized to disclose; or (f) violates any applicable data protection or privacy laws.

Analytics and Derivative Works: The analytics, insights, reports, visualizations, summaries, predictions, and other output generated by the Service from your User Content ("Analytics Output") are derived works that incorporate elements of your User Content. While you retain ownership of your User Content, the Analytics Output may contain proprietary algorithms, methodologies, and processing techniques owned by BizIntell. You are granted a license to use the Analytics Output for your internal business purposes, subject to these Terms.

BizIntell Intellectual Property: The Service, including but not limited to the Platform, software, algorithms, AI models, user interface, design, graphics, logos, trademarks, service marks, documentation, and all other content and materials provided by BizIntell (collectively, "BizIntell Property"), are owned by BizIntell or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works of any BizIntell Property without our express written permission.

Feedback: If you provide us with any feedback, suggestions, ideas, or other submissions regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and otherwise exploit such Feedback for any purpose, without any obligation to compensate you or attribute the Feedback to you.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation, including but not limited to data protection laws, privacy laws, intellectual property laws, and export control laws.
  • To transmit, upload, or distribute any content that infringes upon the intellectual property rights, privacy rights, or other rights of any third party.
  • To upload or process content containing personally identifiable information, sensitive personal data, or confidential information without proper authorization and in violation of applicable privacy laws.
  • To engage in any activity that interferes with or disrupts the Service, servers, networks, or infrastructure connected to the Service, including but not limited to denial-of-service attacks, distributed denial-of-service attacks, or any other malicious activities.
  • To attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • To use automated systems, bots, scripts, or other automated means to access the Service in a manner that exceeds reasonable usage limits or circumvents rate limiting, except as expressly permitted by your subscription plan or through our API with proper authentication.
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying technology of the Service.
  • To use the Service to develop, train, or improve competing AI models, services, or products.
  • To scrape, crawl, or harvest data from the Service without our express written permission.
  • To impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
  • To use the Service in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of the Service.

We reserve the right to investigate violations of this Acceptable Use Policy and may involve law enforcement authorities in prosecuting users who violate applicable laws. Violations of this policy may result in immediate suspension or termination of your account, without refund, and may subject you to civil and criminal liability.

7. Data Storage and Security

Cloud Storage: Your User Content is stored securely using cloud storage infrastructure, including but not limited to Cloudflare R2 and other third-party cloud storage providers. We implement industry-standard security measures, including encryption at rest and in transit, access controls, firewalls, intrusion detection systems, and regular security audits to protect your data. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security.

Data Retention: We will retain your User Content and account information for as long as your account is active or as needed to provide the Service to you. You may delete your User Content at any time through the Service interface. Upon account termination, we will delete or anonymize your User Content in accordance with our data retention policies and applicable law, typically within 30 days of account closure, unless we are required to retain such data for legal, regulatory, or dispute resolution purposes.

Backup and Recovery: We maintain regular backups of our systems and data to ensure service continuity and disaster recovery. However, you are responsible for maintaining your own backups of important User Content. We are not liable for any loss or corruption of data, including but not limited to User Content, Analytics Output, or account information.

Data Processing: All document processing, AI analysis, and data transformation operations are performed server-side on our secure infrastructure. We do not process your data on client devices or third-party devices without your explicit consent. By using the Service, you consent to the processing of your User Content on our servers and infrastructure, which may be located in various jurisdictions worldwide.

8. API Access and Usage

API Availability: BizIntell provides RESTful API endpoints that allow programmatic access to certain features of the Service. API access is subject to your subscription plan, and different plans may have different API rate limits, request quotas, and feature availability. API access may not be available on all subscription tiers, and we reserve the right to limit, restrict, or discontinue API access for any plan at any time.

API Keys and Authentication: API access requires authentication through API keys, tokens, or other credentials that we provide to you. You are responsible for maintaining the confidentiality and security of your API credentials and for all activities that occur using your API credentials. You must not share your API credentials with any third party, and you must immediately revoke and regenerate your API credentials if you suspect they have been compromised.

Rate Limiting: API usage is subject to rate limiting to ensure fair usage and system stability. Rate limits vary by subscription plan and may be adjusted at our discretion. If you exceed your rate limits, API requests may be throttled or rejected. You agree not to attempt to circumvent rate limits through any means, including but not limited to using multiple API keys, distributed requests, or automated retry mechanisms that exceed reasonable usage patterns.

API Terms: Your use of the API is subject to these Terms and any additional API-specific terms and documentation that we may provide. We reserve the right to modify, deprecate, or discontinue API endpoints, features, or functionality at any time, with reasonable notice to affected users. We are not obligated to maintain backward compatibility or provide migration paths for deprecated API features.

9. Service Availability and Modifications

Service Availability: We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times or that it will be free from errors, interruptions, delays, or defects. The Service may be unavailable due to scheduled maintenance, unscheduled maintenance, system failures, network issues, force majeure events, or other reasons beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

Service Modifications: We reserve the right to modify, update, suspend, discontinue, or change any aspect of the Service at any time, including but not limited to features, functionality, user interface, API endpoints, pricing, subscription plans, and service levels. We will provide reasonable notice of material changes when feasible, but we are not obligated to provide notice for minor updates, bug fixes, security patches, or changes required by law or regulation.

Discontinuation: We reserve the right to discontinue the Service or any portion thereof at any time, with or without notice. In the event of Service discontinuation, we will provide reasonable notice to affected users and, if applicable, offer data export functionality or other reasonable accommodations. We are not liable for any loss or damage resulting from Service discontinuation, except as required by applicable law.

Beta Features: We may offer certain features, functionality, or services as "beta," "preview," "experimental," or "early access" versions. Such features are provided "as-is" and "as-available" without warranties of any kind, and we may discontinue, modify, or change beta features at any time without notice. Your use of beta features is at your own risk.

10. Third-Party Services and Integrations

The Service may integrate with or provide links to third-party services, websites, applications, or resources ("Third-Party Services"), including but not limited to Google OAuth for authentication, Cloudflare R2 for storage, Paddle for payment processing, and other service providers. Your use of Third-Party Services is subject to the terms and conditions and privacy policies of those third parties, and we are not responsible for the availability, accuracy, or content of Third-Party Services.

We do not endorse, warrant, or assume responsibility for any Third-Party Services, and we are not liable for any loss or damage resulting from your use of or reliance on Third-Party Services. Your interactions with Third-Party Services are solely between you and the third party, and we are not a party to any transaction, agreement, or dispute between you and any third party.

If you choose to integrate Third-Party Services with your account, you authorize us to access, store, and process data from those services as necessary to provide the integration functionality. You are responsible for ensuring that you have the necessary rights and permissions to authorize such access and that your use of Third-Party Services complies with applicable laws and the terms of those services.

11. Disclaimers and Limitations of Liability

Service "As-Is": THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIZINTELL, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless BizIntell, its affiliates, licensors, service providers, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, losses, liabilities, damages, judgments, awards, penalties, fines, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

  • Your use or misuse of the Service, including but not limited to any User Content you upload, post, or transmit through the Service.
  • Your violation of these Terms or any applicable law, regulation, or third-party right.
  • Your violation of any intellectual property rights, privacy rights, or other rights of any third party.
  • Any claims that your User Content or your use of the Service infringes upon or violates the rights of any third party.
  • Your breach of any representation, warranty, or covenant contained in these Terms.
  • Any dispute between you and any third party arising from your use of the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of the Service.

13. Termination

Termination by You: You may terminate your account and stop using the Service at any time by canceling your subscription (if applicable) and deleting your account through the account settings or by contacting our support team. Upon termination, your right to use the Service will immediately cease, and we will delete or anonymize your User Content in accordance with our data retention policies.

Termination by Us: We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) your engagement in fraudulent, abusive, or illegal activity; (d) your non-payment of subscription fees; (e) extended periods of account inactivity; or (f) any other reason we deem necessary to protect the integrity, security, or availability of the Service or our rights.

Effect of Termination: Upon termination, all rights and licenses granted to you under these Terms will immediately cease, and you must immediately stop using the Service and delete any copies of software, documentation, or other materials related to the Service in your possession. We are not obligated to retain, store, or provide you with any User Content, Analytics Output, or account information after termination, except as required by applicable law.

Survival: The following provisions will survive termination of these Terms: Sections 5 (User Content and Intellectual Property), 11 (Disclaimers and Limitations of Liability), 12 (Indemnification), 14 (Dispute Resolution), 15 (General Provisions), and any other provisions that by their nature are intended to survive termination.

14. Dispute Resolution

Governing Law: These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Delaware, United States, and you consent to the personal jurisdiction of such courts.

Informal Resolution: Before filing any formal legal proceeding, you agree to first contact us at support@bizintell.org to attempt to resolve the dispute informally. We will attempt to resolve the dispute in good faith within thirty (30) days of receiving your notice.

Binding Arbitration: If we cannot resolve the dispute informally, you and BizIntell agree to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Service through binding arbitration, except for disputes that qualify for small claims court. The arbitration will be conducted by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment on the arbitral award may be entered in any court having jurisdiction thereof.

Class Action Waiver: You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against BizIntell.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms or agreements you may enter into with us in connection with specific features or services, constitute the entire agreement between you and BizIntell regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter hereof.

Modifications: We reserve the right to modify these Terms at any time. Material changes will be communicated to you through the email address associated with your account or through a prominent notice on the Platform. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

Waiver: No waiver by BizIntell of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by BizIntell to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

Assignment: You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms or any of our rights or obligations hereunder without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure: We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or infrastructure failures, cyberattacks, or other causes beyond our reasonable control.

Notices: All notices, requests, demands, and other communications under these Terms must be in writing and will be deemed to have been given: (a) when delivered personally; (b) when sent by confirmed email to the email address associated with your account; (c) when sent by certified mail, return receipt requested, to the address you provided during registration; or (d) when posted on the Platform.

16. Export and Data Portability
